Terms of service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Artshiney website, applications, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
The Services are intended for business users and merchants.

2. Description of Services

Artshiney provides business-to-business jewelry manufacturing and fulfillment solutions, including:
Custom jewelry production
Ready-made jewelry supply
Dropshipping fulfillment services
Branding and packaging customization
Order processing and international shipping
Software-based order management tools
Artshiney acts solely as a service provider to merchants and does not operate as a retailer to end consumers unless separately agreed in writing.

3. Eligibility

By using the Services, you represent and warrant that:
You are at least 18 years of age;
You have the legal authority to enter into binding agreements;
You are using the Services for lawful business purposes.

4. Merchant Responsibilities

You agree to:
Provide accurate customization and order information;
Ensure that submitted designs do not infringe intellectual property rights;
Comply with applicable laws and marketplace regulations;
Maintain clear and lawful customer-facing policies;
Handle end-customer communication and disputes.
Artshiney is not responsible for merchant marketplace suspensions, policy violations, or consumer claims arising from merchant marketing or representations.

5. Orders and Production

Orders enter production upon confirmation and payment.
Custom products are generally non-cancelable once production has commenced. However, Artshiney may, in good faith and at its discretion, agree to reasonable modification requests after production has begun, provided that:
The modification is technically feasible;
Production progress allows adjustment;
Any additional costs are borne by the merchant.
Artshiney will use commercially reasonable efforts to accommodate such requests but does not guarantee approval.
Production timelines are estimates only and may vary depending on order complexity and operational conditions.
Minor variations in color, engraving placement, finishing, or material appearance inherent in jewelry manufacturing shall not be considered defects.

6. Pricing and Payment

All pricing is listed in USD unless otherwise stated.
Merchants are responsible for:
VAT or similar obligations
Production and logistics costs of the order
Artshiney reserves the right to update pricing with reasonable notice.
Failure to complete payment may result in suspension of production or services.

7. Shipping and Risk of Loss

Title and risk of loss transfer to the merchant upon delivery of goods to the shipping carrier.
Shipping times are estimates and are not guaranteed.
Artshiney is not liable for delays caused by:
Customs clearance
Carrier disruptions
Force majeure events
Government restrictions

8. Returns and Defects

Due to the customized nature of most products:
Custom products are non-returnable unless materially defective.
Ready-made products may qualify for replacement if defective.
Claims must be submitted within seven (7) days of delivery and include clear photo or video evidence.
If a defect is confirmed, Artshiney may, at its discretion:
Replace the product;
Issue a partial or full refund; or
Provide account credit.
Both parties agree to act reasonably and in good faith when resolving defect claims.

9. Intellectual Property

Merchants retain ownership of submitted custom designs.
Merchants represent and warrant that they possess all necessary rights to submitted content.
Merchants agree to indemnify and hold Artshiney harmless from any third-party claims arising from submitted designs.
All Artshiney trademarks, website content, images, systems, and software remain the exclusive property of Artshiney.

10. Data Protection

Artshiney processes merchant and order data solely for the purpose of providing Services.
We:
Do not sell merchant or customer data;
Use data only for order fulfillment and service operations;
Maintain commercially reasonable security safeguards.
Data processing complies with applicable U.S. and international data protection laws where required.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
Artshiney strives to maintain high production standards and reliable service; however, we do not guarantee uninterrupted, error-free, or delay-free performance.
Except as expressly provided herein, all implied warranties are disclaimed to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, Artshiney shall not be liable for:
Indirect, incidental, or consequential damages;
Loss of profits or business opportunities;
Marketplace account actions or penalties;
Third-party shipping carrier issues.
In no event shall Artshiney’s total liability exceed the amount paid for the specific order giving rise to the claim.
Nothing in these Terms shall limit liability where such limitation is prohibited by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Artshiney and its affiliates from any claims, damages, losses, liabilities, and expenses arising from:
Your use of the Services;
Intellectual property infringement;
Regulatory violations;
Customer disputes or misrepresentations.

14. Termination

Artshiney may suspend or terminate Services if:
These Terms are materially violated;
Fraudulent activity is suspected;
Payment obligations remain outstanding.
Termination does not relieve outstanding payment obligations.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
The parties consent to personal jurisdiction in such courts.

16. Changes to Terms

Artshiney reserves the right to update these Terms at any time.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
